Ranking Copilot — Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Ranking Copilot platform, website, and related online services (together, the “Platform”), provided by Ranking Copilot Ltd, a company incorporated and registered in England and Wales under company number 15832567, with its registered office at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ (“Ranking Copilot,” “we,” “us,” or “our”).
By accessing or using the Platform, you agree to comply with and be bound by these Terms. If you do not agree, you must not use the Platform.
Relationship with Software Licence Agreement
1.1 These Terms apply to all visitors and users of the Platform.
1.2 If you or your organisation have entered into a separate Software Licence Agreement (or equivalent subscription or order form) with Ranking Copilot governing your access to and use of the Platform (“Licence Agreement”), that Licence Agreement will prevail in the event of any conflict or inconsistency with these Terms.
1.3 These Terms and the Licence Agreement together form the full legal framework applicable to your use of the Platform.Access and Use
2.1 You may use the Platform only in accordance with applicable laws, License Agreement and these Terms.
2.2 You agree not to:
• use the Platform in any way that breaches any applicable law or regulation;
• attempt to gain unauthorised access to any part of the Platform or any systems or networks connected to it;
• copy, modify, create derivative works based on, reverse engineer, decompile, or disassemble any part of the Platform, except to the extent permitted by law; or
• use the Platform in a manner that could damage, disable, overburden, or impair it.
2.3 Access to certain features or functionalities of the Platform may require you to register for an account or be authorised under your organisation’s Licence Agreement.Intellectual Property
3.1 All rights, title, and interest in and to the Platform, including software, design, text, graphics, interfaces, and underlying code, are owned by or licensed to Ranking Copilot.
3.2 Except as expressly permitted in your Licence Agreement, nothing in these Terms grants you any rights to use Ranking Copilot’s intellectual property, trade marks, or confidential information.
3.3 You retain ownership of any content or data that you upload or submit to the Platform, as well as any content you generate while using the Platform.Subscription and Renewal
4.1 The Platform is provided on a subscription basis under the terms of the applicable Licence Agreement.
4.2 Terms and conditions of subscription, renewal, billing, and termination are governed by the Licence Agreement and any relevant order form.
4.3 In the event of any inconsistency between these Terms and the Licence Agreement regarding subscriptions or renewals, the Licence Agreement shall prevail.Privacy and Data Protection
5.1 Your personal data will be processed in accordance with our Privacy Policy and the data-processing provisions of your Licence Agreement.
5.2 You are responsible for ensuring that any personal data you upload through the Platform complies with applicable data-protection laws, including the UK Data Protection Act 2018 and the EU GDPR 2016/679 (as applicable).Disclaimers
6.1 The Platform is provided “as is” and “as available.”
6.2 Ranking Copilot makes no warranties or representations, express or implied, regarding the accuracy, reliability, or availability of the Platform, or that it will be error-free or uninterrupted.
6.3 Nothing in these Terms excludes or limits any warranty or liability that cannot be lawfully excluded or limited under English law.Limitation of Liability
7.1 Subject to clause 6.3, Ranking Copilot will not be liable for:
• loss of profits, business, or revenue;
• loss of data or corruption of data;
• any indirect or consequential loss or damage arising under or in connection with your use of the Platform.
7.2 Where a Licence Agreement is in place, the liability limits set out in that Licence Agreement shall apply.Suspension and Termination
8.1 We may suspend or terminate your access to the Platform at any time if:
• you breach these Terms or applicable law;
• we are required to do so by law or regulation; or
• continued access would present a security or operational risk.
8.2 Termination under this clause does not affect any rights or obligations that have accrued prior to termination.Changes to the Platform or These Terms
9.1 We may update or modify the Platform or these Terms from time to time.
9.2 Material changes will be posted on this page with an updated “Last Updated” date. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.Governing Law and Jurisdiction
10.1 These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.
10.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.Contact
